NORTHVILLE, MICHIGAN
Articles of Association and Bylaws

Article I: Name
The name of this association shall be the Shadbrook Property Owners Association, Inc.

Article II: Purpose
A. To promote the interest and welfare of the property holders of Shadbrook Subdivision of part of the NE ¼ and the SE ¼ of Section 9 Town. 1S, Range 8E, including Lot No. 9 of Snow Acres Subdivision, Northville Township, Wayne County, Michigan, according to the plots thereof as recorded.

B. To promote and procure the enforcement of building, zoning or other restrictions within the aforesaid subdivision or adjacent properties where Shadbrook Subdivision might be affected.
C. To promote and procure the construction of and to ensure the proper maintenance of necessary public improvements within the subdivision or contiguous properties.

BYLAWS

Membership: Membership in the Shadbrook Property Owners Association shall consist of resident property owners. The privileges of voting shall be limited to two members of a family of residence. Members become eligible to vote upon payment of dues.

Officers: A. The office of the Association shall consist of a President, a Vice President, a Secretary, and a Treasurer, all of whom shall act as trustees of said Association.

B. Any document to be signed on behalf of the Association shall be signed by any two officers provided that one of the signators is the Treasurer in those cases where documents are concerned with acquisition or dispersal of Association funds.

C. The President shall preside at all meetings unless unable to attend, whereupon the Vice President shall preside.
D. The Secretary shall take minutes of all meetings and do all corresponding on behalf of the Association.
E. The Treasurer shall have charge of its funds, keep its book of accounts, a record of membership dues, and shall pay bills upon being authorized by two officers of the Association.

Executive Committee:

A. The President, Vice President, Secretary and Treasurer shall constitute the Executive Committee and serve for two years.
B. The duty of this committee shall be to act in an advisory capacity upon any plans and specifications of buildings to be constructed in or near Shadbrook Subdivision upon request of any member of the Association or upon its own initiative and to represent the members of their areas on any questions of public or community interest.
C. The Executive Committee shall meet at least twice each year (excepting in July and August). Additional meetings shall be called by the President or Vice-President as required.
D. It shall be the duty of the Executive Committee to call upon new residents of Shadbrook Subdivision, welcome them and acquaint them with the activities of the Association, and invite them to become members.

Nominations, Elections:

A. Officers shall be elected at the September meeting on even years and the new electors will take office on odd years.
B. Nominations for officers may be made from the floor at any regular annual meeting or at any postponement thereof. Voting shall be by secret ballot and a majority, after quorum is established, shall be elected.
C. Officers shall serve without remuneration.

Committees: Members of all committees will serve for two years. The time and place of meetings shall be designated by the Committee chair.

Architectural Control Committee:

A. This committee shall consist of an officer and (2) two members eligible to vote, appointed by the President, whose duty it shall be to investigate all cases of restriction, infringement, either existing or proposed and report their findings to the Executive Committee.
B. It shall be the duty of this committee to negotiate with the proper governmental agency on all matters that need attention in connection with streets, sewers, parks, public lighting, safety or other matters requiring governmental action.

It will require the approval of the majority of the membership of this committee to so notify and negotiate with governmental agencies.


Social Committee:

A. This committee will consist of at least 3 members whose responsibility is to promote and arrange various social activities such as golf outings, picnics and related events. The President will appoint the Social Committee chair.


Nominating Committee:

A. This committee will consist of (3) three members, appointed by the President, who are in good standing within the Association.
B. It shall be the duty of this committee to select a slate of officers to be presented and voted upon at the annual meetings, or any postponement thereof, to arrange for balloting and act as tellers for the election.

Meetings:

A. Regular business meetings of the Association shall be held in April and September. The September meeting will be the annual meeting.

The Secretary shall give notice of these meetings to all members at least (7) seven days in advance and the President or Vice President shall set the time and place.

B. A quorum for transactions of business shall consist of at least one third (1/3) of the members of the Association eligible to vote.

Special Meetings:

A. Special meetings of the Executive Committee shall be called by any officer upon request of any four (4) members of the Association eligible to vote.
B. The time and place of all special meetings shall be set by the officer calling same and notice including the purpose shall be given all members of the Executive Committee at least three (3) days in advance by the officer calling the meeting.

Dues:
The dues for each residence of members of the Association shall be 175.00 a year. The purpose of these dues is to cover routine administrative expenses. With a majority vote of the Executive Committees, these monies can be used to fund other operational expenses within the Association. All other expenses shall be paid by special assessments after such expenditures are approved by at least 2/3 of eligible voters.


Amendments:

These articles of Association and Bylaws may be amended by a two-thirds (2/3) vote of those present at any regular meeting of the Association, after it has been established that a quorum exists, and provided the proposed amendment shall have been submitted to the members of the Association at least (7) days before the meeting at which time same is to be voted upon.
